Terms of Use
These Terms of Use govern how you access and operate the Never Vanilla market management platform. By signing in as an organiser, staff member, vendor, or any other account holder, you agree to these terms with DataForge Limited ("DataForge Limited", "we", "us", or "our"). Never Vanilla is our public-facing brand; the Platform may also be presented through partner or white-label branding, but in every case the underlying service provider and intellectual property owner is DataForge Limited.
Ownership and License
The Platform—comprising all software, source code, interfaces, workflows, database schemas, documentation, visual maps, configuration files, and related market management systems—is and remains the exclusive property of DataForge Limited. We grant each authorised user a limited, revocable, non-exclusive, non-transferable, non-sublicensable licence to access and use the Platform solely to run events, manage markets, and process vendor activity for your organisation.
The Platform is licensed, not sold. These Terms do not transfer any ownership interest, intellectual property rights, or other proprietary interests to you or your organisation.
Permitted Use and Restrictions
- The Platform may be used only by authorised organisers, internal staff, contractors, and vendors for legitimate market and event operations.
- No user may copy, export, scrape, bulk-download, reverse engineer, decompile, disassemble, clone, or otherwise attempt to discover the Platform's source code or underlying structure.
- No derivative products, competing platforms, or white-label solutions may be created from any portion of the Platform.
- Users must not resell, rent, lease, lend, gift, or sublicense Platform access, credentials, or data.
- Do not bypass security controls, defeat technical restrictions, impersonate other users, or interfere with the Platform's normal operation.
- All uploads and communications must comply with applicable law, respect third-party intellectual property, and safeguard privacy obligations.
Confidentiality and Data Protection
You must keep all non-public information obtained through the Platform—such as vendor details, stall layouts, pricing, documentation, and internal conversations—confidential. Promptly notify us and affected parties if you suspect unauthorised access, disclosure, or misuse of any data accessed via your account.
Account Security
Each user is responsible for safeguarding their credentials, devices, and any API tokens. Do not share passwords or allow third parties to access your account. You are accountable for all activity conducted through your login. If you suspect compromise, reset your password immediately and contact our support team.
Availability and Service Changes
We aim to provide reliable service, yet we cannot guarantee uninterrupted or error-free access. Maintenance, third-party outages, network instability, force majeure, or security requirements may limit availability. We may modify, suspend, or discontinue features or access at any time, with or without notice.
No Warranty; Limitation of Liability
The Platform is provided "as is" and "as available", without warranties of any kind, express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, title, or non-infringement. To the extent permitted by law, DataForge Limited is not liable for indirect, incidental, consequential, special, exemplary, or punitive damages, or for lost profits, revenues, goodwill, or data arising from your use of or inability to use the Platform.
Indemnity
You will indemnify and hold harmless DataForge Limited, its directors, officers, employees, contractors, and affiliates from any claim, loss, liability, damage, or expense (including reasonable legal fees) arising out of your use of the Platform, breach of these Terms, or violation of applicable law or third-party rights.
Acceptance of Terms
By creating or using an account, or by continuing to operate through the Platform, you confirm that you have read, understood, and agree to these Terms. If you do not accept the Terms, you must refrain from using the Platform.
Updates
We may update these Terms periodically. Any changes become effective upon posting, unless stated otherwise. Your continued use of the Platform after updates take effect constitutes acceptance of the revised Terms. Material revisions will be highlighted on this page.
